TERMS AND CONDITIONS

    These Terms and Conditions ("Terms") govern your access to and use of the website https://www.virtualstaffhq.com and any related services, features, and tools (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

    1) Interpretation and Definitions

    1.1 Interpretation

    Words with the first letter capitalized have meanings defined below, regardless of whether used in singular or plural.

    1.2 Definitions

    • Company / We / Us / Our: Virtual Staff HQ, 276 5th Avenue Suite 704-3182 New York, NY 10001
    • Website / Service: Virtual Staff HQ and all related services at https://www.virtualstaffhq.com
    • You / User: the individual or entity accessing or using the Service
    • Client: a company or individual engaging a virtual assistant through the platform
    • Virtual Assistant ("VA"): an independent contractor providing services through the platform
    • Subscription: any recurring membership plan billed monthly (or billed on a recurring basis based on plan)
    • Auto-Release: a feature enabling automatic weekly payout to the VA (if available on your plan)
    • Tenant / Partner: a partner using the Virtual Staff HQ white label system to refer clients into a branded tenant portal and earn commissions
    • Tenant Portal: a branded login, sign up, and password flow (and related portal UI) associated with a Tenant
    • Feedback: suggestions or ideas submitted by you to the Company

    2) Eligibility

    You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this requirement.

    3) Scope of the Service

    The Service is a platform that connects Clients with Virtual Assistants. The Company may provide tools to manage communication, contracts, payments, and performance, depending on plan level.

    We do not guarantee that:

    • you will find a VA,
    • a VA will meet your specific expectations, or
    • any particular outcome will result from using the Service.

    4) Client Responsibility and VA Relationship

    4.1 Client Responsibility

    Clients are responsible for:

    • defining tasks, expectations, and requirements
    • managing the VA's day to day work
    • ensuring the VA has clear instructions and access
    • verifying work quality before approving releases
    • compliance with any laws applicable to Client operations

    4.2 Independent Contractor Relationship

    Virtual Assistants on the platform are independent contractors, not employees of the Company or the Client unless explicitly agreed otherwise in a separate written agreement.

    Clients are responsible for ensuring their use of a VA complies with applicable labor, tax, and regulatory obligations.

    4.3 No Guarantee of VA Performance

    You acknowledge and agree that the Company does not control the day to day work, output, or performance of any VA. We do not guarantee the quality, suitability, or performance of any VA, and we are not responsible for any acts, omissions, or results of the VA's work. Clients are responsible for evaluating candidates, setting expectations, and managing the working relationship.

    5) Tenant Portals, Branding, and White Label Experience

    5.1 Tenant Portals

    Some users may access the Service through a Tenant Portal that is branded to a Tenant. Tenants may use either a subdomain hosted on our primary domain or a custom domain.

    5.2 User Isolation (Silo Effect)

    Users registered via a Tenant Portal are linked to that Tenant and cannot log in through another Tenant Portal.

    5.3 System Emails and Deliverability

    To support email deliverability, system emails (welcome, password reset, notifications) are sent from the Tenant's subdomain on our server, not from the Tenant's external domain. The display name may still reflect the Tenant's brand.

    5.4 Legal Relationship

    Although the interface may be white labeled, the end user is contracting with Virtual Staff HQ. When a user registers, they agree to Virtual Staff HQ's Terms and Privacy Policy.

    6) Payments, Releases, Chargebacks, and Finality of Transactions

    6.1 Payment Processing

    Payments may be processed through third party providers (example: Stripe, PayPal). Your use of these payment services is also subject to their terms.

    6.2 Released Funds Are Final

    Once funds are released to a Virtual Assistant, the payment is final and non refundable. You agree that you will not dispute, chargeback, reverse, or request withdrawal of any released payments.

    6.3 Auto-Release

    If you enable Auto-Release (where available), you authorize the Company to automatically release funds to the VA on a weekly basis. Auto-released payments are final and non refundable once transferred.

    6.4 Disputes Before Release Only

    If a Client wishes to dispute hours, work quality, or contract terms, they must do so before the funds are released. Once funds are released, manually or via Auto-Release, you waive the right to dispute those funds.

    6.5 Chargebacks and Evidence Submission

    You agree not to initiate chargebacks, reversals, or disputes for valid charges made through the Service, including subscription payments and any payments properly released to a VA.

    If a chargeback or dispute is initiated, you authorize the Company to submit evidence to the payment processor or financial institution, including:

    • acceptance of these Terms
    • account access logs
    • subscription records
    • timesheet approvals
    • platform activity logs
    • communications and transaction history

    Chargebacks and disputes may result in immediate suspension or termination of your account.

    7) Subscription Billing, Refund, and Cancellation Policy

    7.1 Subscription Billing

    Subscriptions are billed based on the plan terms and automatically renew unless canceled before the next renewal date.

    7.2 30-Day Money-Back Guarantee (First Payment Only)

    A 30-day money-back guarantee applies only to the first subscription payment. To request a refund, you must contact support within 30 days of your first charge.

    7.3 No Refunds After the First 30 Days

    After the initial 30-day period:

    • all renewal payments are non refundable
    • no partial refunds will be issued
    • unused time in a billing cycle is not credited

    7.4 Cancellation

    You may cancel your subscription at any time by logging into your account and completing the cancellation process.

    • cancellation stops future renewals only
    • access remains active until the end of the current paid billing period
    • no refunds are provided for unused time

    7.5 Discretionary Credits

    At the Company's discretion, we may offer account credits, partial refunds, or adjustments as a goodwill gesture. This is not guaranteed and does not change these Terms.

    8) Tenant Commissions, Payouts, and Chargebacks (Partners)

    8.1 Commission Rate and Basis

    Tenant commissions are calculated as follows:

    • standard products: 40% of the total transaction amount
    • service contracts and HR premium: 40% of the profit fee we collect

    8.2 Lifetime Commission

    Commission is lifetime as long as the referred client remains active and paying, even if the Tenant stops actively marketing.

    8.3 Payout Timing

    Tenant payouts are made by bank transfer on the 15th of the following month.

    8.4 Billing Descriptor

    Charges may appear as: "Virtual Staff HQ - [Tenant Name]".

    8.5 Shared Chargeback Liability

    If a chargeback occurs, 40% of the lost amount is deducted from the Tenant.

    9) Support and Operational Responsibilities

    Virtual Staff HQ is responsible for platform development (updates, bug fixes) and support (live chat, customer service). Tenants are responsible for marketing their tenant portal.

    10) Termination and Suspension

    We may suspend or terminate your access immediately if:

    • you violate these Terms
    • you misuse the Service
    • you attempt to dispute or charge back released VA payments
    • you engage in fraud, abuse, harassment, or illegal activity

    Upon termination, your right to use the Service ceases immediately.

    11) Intellectual Property

    All website content, branding, software, and functionality (excluding user submitted content) is owned by the Company and protected by applicable intellectual property laws. You may not copy, distribute, or exploit our content without written permission.

    12) Feedback

    If you submit Feedback, you grant the Company a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or compensation.

    13) Third-Party Links

    The Service may contain links to third-party websites. We are not responsible for their content, policies, or practices. Use them at your own risk.

    14) Disclaimer of Warranties ("AS IS")

    The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind. We do not guarantee the Service will be uninterrupted, error-free, or that defects will be corrected.

    15) Limitation of Liability

    To the maximum extent permitted by law:

    • we will not be liable for indirect, incidental, special, or consequential damages
    • our total liability is limited to the amount you paid through the Service in the last 30 days, or $100, whichever is greater

    16) Governing Law

    These Terms are governed by the laws of New York, United States, excluding conflict-of-law rules.

    17) Dispute Resolution

    You agree to first attempt informal resolution by contacting support. If unresolved, disputes will be handled in courts located in New York, unless prohibited by law.

    18) U.S. Compliance

    You represent that:

    • you are not located in a U.S.-embargoed country
    • you are not listed on any U.S. prohibited or restricted party list

    19) Severability

    If any part of these Terms is found unenforceable, the remaining terms remain in full effect.

    20) Changes to These Terms

    We may update these Terms at any time. If changes are material, we will make reasonable efforts to notify you at least 30 days prior to the update taking effect. Continued use of the Service after changes means you accept the revised Terms.
